La Jolla, CA--Viking Systems, a medical products company focused on integrated solutions for the digital surgical environment, agreed to acquire the assets of Lighthouse Imaging (Portland, ME) for a combination of cash and Viking stock. Lighthouse, a FDA registered medical device manufacturer, specializes in medical optics design and assembly.

Lighthouse's products, patent portfolio and services offerings include endoscopic instrumentation, optical measuring systems, medical illumination, fiber optic imaging technology and new optical product specification and feasibility studies. This transaction is subject to several closing conditions, and if resolved, is expected to close in September 2004.

"Lighthouse brings to Viking Systems a substantial R&D and engineering capability in advanced optics, fiber optics and measurement systems," stated Thomas Marsh, president and CEO of Viking Systems.

Lighthouse, founded in 1984 by Dr. Dennis Leiner, manufactures a variety of optical products used in instruments considered standard of care in medicine today. Lighthouse also manufactures many custom assemblies specifically designed and developed with the assistance of Lighthouse's engineers. With the acquisition of Lighthouse, Dr. Leiner and his team of engineers will join Viking Systems.
